Club Update on the outcome of our two Special General Meetings ...

As you will be aware the Club had proposed to change its constitutional base from being a Community Benefit Society to a Company Limited by Guarantee. In order to achieve this change two Special General Meetings had to called.

The first meeting held on 3rd October required that 50%+ of the membership took part, with a quorum of 20 being present at the meeting, with 75% minimum of those who cast a vote voting in favour of the three resolutions on the table. These goals were achieved with over 54% of members voting, of which 98.7% were in favour. There was an attendance at the meeting of 30 members.

The second meeting took place on 31st October. The requirements of this meeting were less onerous with a quorum of 20 members to be present and a simple majority voting in favour of the resolutions. Again both goals were achieved with 29 members present, voting unanimously in favour of the resolutions.

My thanks to those took part by taking time to vote either in person or by proxy, and to those, particularly Charlotte, who helped enormously with the mechanics of circulating members and collecting votes.

Norman Simpson
Hon Secretary, Wirral Club Ltd
